Terms of Service
Effective Date: May 1, 2026
1. Overview
These Terms of Service ("Terms") govern your access to and use of the ModelBridge API gateway service
(the "Service"), operated by ModelBridge ("we", "us", or "our"). By using the Service, you ("User")
agree to be bound by these Terms.
⚡ MVP Notice: This service is in MVP (Minimum Viable Product) stage. Features,
pricing, and terms may change with notice. We appreciate your feedback as we improve.
2. Eligible Users
The Service is only available to the following user types:
- Overseas individual developers
- Students and researchers
- Non-commercial small teams (≤5 people)
The following users are strictly prohibited from using the Service:
- Enterprise or commercial entities
- Users in regulated industries: finance, healthcare, government, legal
- Users intending to resell, redistribute, or white-label the Service
⚠️ Enforcement: We reserve the right to verify user identity and intended use.
Accounts suspected of violating eligibility rules will be suspended without refund.
3. Acceptable Use
You agree not to submit API requests containing:
- Personally Identifiable Information (PII): names, emails, phone numbers, ID numbers
- Commercial confidential information: trade secrets, contracts, internal documents
- Prohibited content: hate speech, violence, pornography, terrorism, disinformation
- Content that violates the laws of any jurisdiction
All requests pass through an automatic data cleaning layer that removes PII before
forwarding to upstream model providers. We do not store raw user prompts.
4. Service Availability
We strive to maintain ≥95% service availability, but make no guarantees. The Service may be
interrupted due to:
- Upstream model provider rate limits or outages
- Network issues between overseas users and our Hong Kong gateway
- Scheduled maintenance (with advance notice)
- Policy or regulatory changes affecting model availability
No SLA or compensation is provided during the MVP stage.
We will endeavor to notify users of planned maintenance via email.
5. Payment & Billing
- Payments are processed by Stripe and PayPal.
- Subscriptions auto-renew monthly until cancelled.
- Token top-up packs are one-time purchases, valid until exhausted.
- No refunds are provided for partial months or unused tokens.
- Prices may change with 7 days' advance notice via email.
6. Data & Privacy
- We do not collect or store your personal identity information.
- Raw API prompts are not stored; only sanitized requests are temporarily cached (≤10 minutes).
- API usage logs (call counts, timestamps) are retained for 30 days for billing/debugging, then auto-deleted.
- Data cleaning logs are retained for 7 days, then auto-deleted.

7. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind.
- We are not liable for any indirect, incidental, or consequential damages.
- Our total liability is capped at the amount you paid us in the past 3 months.
- We are not responsible for the output quality, accuracy, or safety of upstream model responses.
8. Termination
- You may cancel your subscription at any time via the dashboard; no pro-rated refunds.
- We may suspend or terminate your account if you violate these Terms.
- Upon termination, your API key will be invalidated immediately.
9. Changes to Terms
We may modify these Terms at any time. Changes will be posted on this page with an updated
effective date. Continued use of the Service constitutes acceptance of the modified Terms.
